TERMS AND CONDITIONS

Seller: Hoffman and Pelland

1. Agents are agents for the seller only.

2. No personal property is included in this transaction.

3. Seller will provide a warranty deed and title insurance reflecting a clear title with no liens or encumbrances subject to recorded restrictions and easements, and standard policy exceptions, if any.Cost of title insurance is to be divided 50-50 between buyer and seller.

4. Taxes will be prorated to closing date based upon the best information available to closing agent.

6. Seller is to pay the normal seller's closing cost. Buyer is to pay the normal buyer's closing cost.

7. Closing to be on December 15, 2008. However, any unforseen delays, such as clearing title, etc., will not void the contract entered into today.

8. Closing to be done by Stewart Title Co., Eureka Springs AR.

9. Possession is to be at closing.

10. $25,000 is to be paid to Exit Montgomery Whiteley Realty Escrow Account today. This amount will become a part of the purchase price. If buyer fails to fulfill his obligation, this money will become liquidated damages. The balance is to be paid in certified funds at closing.

11. High bidder is to sign an Auction Real Estate Contract upon completion of bidding today,
which is to be a no contingency contract.

12. Bidders are urged to examine the property prior to bidding to determine and satisfy themselves as to Environmental conditions, Lead Based Paint, Boundaries, Acreage, and the Condition of same. Sellers or agents make no statements or warranties, either expressed or implied, as to condition. All information is from sources deemed reliable, but not guaranteed. 13. Should something happen that this transaction cannot be completed through no fault of the high bidder, high bidder will be refunded the earnest money deposited today.
